These Terms of Service ("Terms") govern your access to and use of the OmniRogue platform, products, and services (collectively, the "Services").
By accessing OmniRogue, purchasing a subscription, deposit, or credits, or using any related Services, you agree to be bound by these Terms.
1. Company Information & Merchant of Record
OmniRogue is operated by OmniRogue, Inc. ("Company," "we," "us," or "our").
Merchant of Record
OmniRogue, Inc., a Florida corporation, is the Merchant of Record for OmniRogue transactions, including software subscriptions, digital licenses, credits, and deposits related to OmniRogue's digital services and white-label software licensing (unless explicitly stated otherwise at checkout).
In this capacity, OmniRogue, Inc. is responsible for payment processing, billing, chargebacks, refunds (if applicable), and transaction-related customer support for purchases processed through the Services.

Billing Descriptor
Charges may appear on your billing statement as one of the following (or substantially similar descriptors):
- OMNIROGUE
- OMNIROGUE INC
- OMNIROGUE*SOFTWARE
(Exact descriptors may vary by payment method and processor.)
2. Description of Services
OmniRogue provides digital access to AI-powered software, automation systems, AI agents, creative generation tools (including text, images, and video capabilities where available), and related educational materials.
All Services are delivered digitally unless explicitly stated otherwise. Access is typically granted upon successful payment or subscription activation. No free trials are offered unless explicitly stated at checkout.
3. Subscription Plans, Billing & Pricing
OmniRogue may offer subscription plans and/or one-time purchases as presented at checkout. Current subscription tiers may include:
- Bronze – $199 USD per month
- Silver – $299 USD per month
- Gold – $499 USD per month
All prices are subject to change. The price displayed and confirmed at checkout will apply to your purchase or renewal. All prices are charged in U.S. Dollars (USD).
Auto-Renewal & Ongoing Billing Consent
By purchasing a subscription, you expressly acknowledge and agree that:
- Your subscription will automatically renew at the then-current rate until canceled; and
- OmniRogue, Inc. (or its payment processor) is authorized to charge your stored payment method for each renewal period without further approval, unless you cancel before renewal.
4. Cancellation Policy
You may cancel your subscription at any time to prevent future billing.
How to Cancel
Cancellations may be completed using either of the following methods:
Online Dashboard:
Log into your OmniRogue account and select "Cancel Subscription" within your Billing or Account settings. Cancellation is processed instantly when available.
Email:
Send a cancellation request from the email address associated with your account to support@omnirogue.com.
Email requests are typically processed within 1–3 business days, and confirmation will be sent once completed.
Timing & Effect
- Cancellation requests must be submitted at least 24 hours before your renewal date to avoid the next charge.
- You will retain access through the end of your current paid billing period.
- No prorated refunds or credits are issued for unused time.
5. Refund Policy
Due to the digital nature of the Services and the allocation of infrastructure and compute resources:
- Subscriptions are non-refundable once a billing period has started.
- Deposits and packages are non-refundable where they reserve dedicated resources or capacity.
- Credits are non-refundable and have no cash value.
Legal Exception
Refunds will be issued only when required by mandatory consumer protection laws.
6. BYOK (Bring Your Own Key) & Usage
Certain features may allow or require users to provide their own third-party API keys (e.g., OpenAI, Anthropic, xAI) ("BYOK").
- OmniRogue does not apply markup to BYOK usage unless explicitly stated at checkout.
- You are billed directly by the third-party provider for BYOK usage under that provider's terms.
- You are solely responsible for API costs, compliance with third-party terms, and key security.
7. Payment Disputes & Chargebacks
If a dispute or chargeback is initiated, OmniRogue, Inc. may temporarily suspend or limit access to the Services while the matter is reviewed.
Transaction records, access logs, and these Terms may be provided to payment processors or issuing banks. Fraudulent or abusive chargeback activity may result in permanent account termination.
8. Privacy Policy
Your use of the Services is governed by our Privacy Policy, available at: omnirogue.com/privacy-policy
9. No Guarantee of Results
OmniRogue provides tools and resources only. We do not guarantee specific outcomes, financial gains, or business success.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Services are provided "as is" and "as available."
- OmniRogue, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages.
- Our total liability for any claim arising out of or relating to the Services will not exceed the amount paid by you to OmniRogue, Inc. for the Services in the preceding twelve (12) months.
11. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Florida.
Any disputes shall be resolved exclusively in the state or federal courts located in Hillsborough County, Florida, unless otherwise required by applicable law.
12. Acceptable Use
You agree not to misuse the Services or help others do so. Prohibited uses include: generating or distributing illegal content; infringing intellectual property rights; attempting to exploit, harm, or disrupt the Services (including automated scraping, botting, or abusive usage that degrades platform performance); creating malware or facilitating unauthorized access; and generating deceptive content intended to mislead the public (including non-consensual deepfakes or impersonation). We may suspend or terminate access for violations.
13. Fair Use and Platform Safeguards
To protect the reliability and security of the Services, we may implement reasonable safeguards such as rate limits, throttling, storage controls, and abuse detection. We may suspend or restrict accounts that materially interfere with platform stability, attempt to bypass limits, or use automated scripts to drain resources.
14. User Content and License
You retain ownership of content you submit to the Services ("User Content"). You grant OmniRogue a limited, non-exclusive, worldwide license to host, process, transmit, and display User Content solely as necessary to provide, secure, and maintain the Services and to comply with legal obligations.
Except as expressly stated in our Privacy Policy or an enterprise agreement, we do not use User Content to train public foundation models.
15. AI Outputs; No Professional Advice
Outputs generated by the Services may be inaccurate, incomplete, or unsuitable for your specific use case. You are responsible for reviewing and verifying outputs before relying on them. The Services do not provide legal, medical, financial, or other professional advice.
16. Intellectual Property
We own and retain all rights in the Services, including software, models (to the extent applicable), interfaces, branding, and all improvements. You receive only the rights expressly granted in these Terms. If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.
17. Account Security; Suspension and Termination
You are responsible for maintaining the confidentiality of your login credentials and all activity under your account. We may suspend or terminate your access immediately if we reasonably believe you violated these Terms, pose a security risk, or engage in fraudulent activity. Upon termination, your right to access the Services ceases.
18. Changes to the Services and Terms
We may modify, add, or remove features and may update these Terms from time to time. We will post updates with a revised "Last Updated" date. If changes materially affect your rights, we may provide additional notice. Continued use of the Services after changes become effective constitutes acceptance.
19. Third-Party Services
The Services may integrate with third-party services (including model providers and payment processors). Third-party services are governed by their own terms and privacy practices. OmniRogue is not responsible for third-party services, outages, or changes to third-party pricing, policies, or availability.
